Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2016, Christopher C. Crum advised Blackhawk that he plans to resign from his position as the Senior Vice President, Sales, which is expected to be effective in September 2016. In connection therewith, Blackhawk and Mr. Crum intend to enter into a separation agreement.
