The Registrant is unable to file its Annual Report on Form 10-K for the year ended December 31, 2022 (the “10-K”) within the prescribed time period without unreasonable effort or expense due to residual economic uncertainties arising from governmental restrictions in response to the COVID-19 pandemic. The Registrant will file the 10-K on or before the fifteenth calendar day following the prescribed due date.

For the year ended December 31, 2022, the Company generated net revenues of approximately $162,510 as compared to $488,663 for the same period ended December 31, 2021. The cost of revenue was approximately $130,635 and $456,893 for the years ended December 31, 2022 and 2021, respectively. The Company also incurred operating expenses of approximately $4,005,169 for the years ended December 31, 2022, as compared to $2,237,346 for the same period ended December 31, 2021. This resulted in a net loss of approximately $3,970,951 and $2,237,346 or the years ended December 31, 2022, and 2021 respectively.
