Item 8.01 Other Events.
Our affiliate FOMO WORLDWIDE, INC.’s (OTC: FOMC; p/k/a “FOMO CORP.”) trademark application for “FOMO” for health and beauty beverages and canned drinks using nutraceuticals passed the objection window that was initiated September 27, 2022 through publication in the USPTO Gazette. Effective November 22, 2022, a notice of allowance (“NOA”) for “FOMO” for health and beauty beverages and canned drinks using nutraceuticals was issued to FOMO WORLDWIDE, INC. by the USPTO. As a result, according to the USPTO, the trademark will be issued upon delivery of proof and plans for commercialization.
We are working with FOMO WORLDWIDE, INC. to activate our signed co-pack agreement with Sprecher Brewing Co. and to formulate a non-caffeinated health beverage called “FOMO CAN” or similar with formulation and ingredients from our minority investment GenBio, Inc (“GenBio”; HMLA has a 19.9% equity ownership). We intend to enter into a royalty arrangement with FOMO WORLDWIDE, INC. for access to the future trademark on a % of revenues basis from sales of FOMO CAN or similar. We intend to offer the product on a B2B basis through Sprecher’s 32-state distribution directly to points of sale including Big Box retailers, through national retail distribution channels including fast casual convenience stores targeting consumers and businesses, and on a B2C and B2B basis through online channels including social media such as our wholly owned cannabis health and wellness site Kanab Club (https://www.kanab.club/).
