NARRATIVE

State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period.

The compilation, dissemination and review of the information required to be presented in the Form 10-K for the year ended February 28, 2015 has imposed time constraints that have rendered timely filing of the Form 10-K impracticable without undue hardship and expense to the registrant. The registrant undertakes the responsibility to file such report no later than fifteen days after its original prescribed due date.  The registrant was a shell company during the years ended February 28, 2015 and 2014, and subsequent to February 28, 2015, the registrant acquired all of the capital stock of Lingerie Fighting Championships, Inc. ("LFC") in a transaction accounted for as a reverse acquisition, with LFC being the accounting acquirer.  Because of its limited staff, the Company is unable to file on the due date.

The registrant's report on Form 10-K for the year ended February 28, 2015 cannot be filed within the prescribed time period because the registrant requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-K.  The registrant had no revenue in either the year ended February 28, 2015 or the year ended February 28, 2014.  The registrant anticipates that it will report a loss of approximately $129,000 for the year ended February 28, 2015, as compared with a loss of approximately $260,000 for the year ended February 28, 2014. The registrant's Annual Report on Form 10-K will be filed on or before the 15th calendar day following the prescribed due date.
