Item 2.02     Results of Operations and Financial Condition.

In February 2024, after it reported earnings, Calix, Inc. (the “Company”) reached an agreement to settle litigation. As the underlying matter originated in a prior period, the Company determined that this event met the definition of a recognized subsequent event in accordance with FASB ASC 855 Subsequent Events and has therefore recorded a $3.2 million litigation accrual in the Company’s December 31, 2023 consolidated financial statements, which has been included in the Company’s Annual Report on Form 10-K for the year ended December 31, 2023 filed on February 22, 2024.

Calix previously furnished its fourth quarter and annual results for 2023 on January 29, 2024 via its stockholder letter. The impact of recording the litigation settlement on its fourth quarter of 2023 results was to increase GAAP general and administrative operating expenses by $3.2 million, the GAAP net loss by $2.5 million and the GAAP net loss per common share by $0.04. The stockholder letter has been updated to reflect these changes. The amended stockholder letter is attached hereto as Exhibit 99.1 and incorporated herein by reference.
