Debt Disclosure [Text Block]	4. CONVERTIBLE NOTE PAYABLE The Company borrowed $150,000 (all funds are in US dollars) pursuant to an agreement dated April 29, 2008. The note was converted into 166,666 shares at a deemed value per share of $.90 effective February 22, 2010.
