Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Eledon Pharmaceuticals, Inc. (the “Company”) held its Annual Meeting of Stockholders on June 21, 2023 (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders approved an amendment to the Eledon Pharmaceuticals, Inc. 2020 Long Term Incentive Plan (the “2020 Incentive Plan”). The 2020 Incentive Plan, as amended, (i) reflects an increase in the limit on the aggregate number of shares of the Company’s common stock that may be delivered pursuant to all awards granted under the 2020 Incentive Plan by an additional 9,600,000 shares so that the new aggregate share limit under the 2020 Incentive Plan is 14,460,000 shares, and (ii) extends the date through which the Company may grant new awards under the 2020 Incentive Plan from November 15, 2030 to April 26, 2033.

Item 5.07 Submission of Matters to a Vote of Security Holders.

At the Annual Meeting on June 21, 2023, the Company’s stockholders voted on four proposals described in the Company's definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on May 1, 2023. The results for each matter voted on by the stockholders at the Annual Meeting were as follows:

 

Proposal 1: The stockholders of the Company elected each of David-Alexandre C. Gros, M.D. and Jan Hillson, M.D. as Class III Directors for a three-year term ending at the Annual Meeting of Stockholders to be held in 2026 and until each of their successors has been duly elected and qualified, or until their earlier death, resignation or removal. The results of the stockholders' vote with respect to the election of the Class III Directors were as follows:

Proposal 2: The stockholders of the Company approved an amendment to the Company's 2020 Incentive Plan, increasing the aggregate number of shares available for issuance by 9,600,000 shares. The results of the stockholders' vote with respect to the approved amendment were as follows:
