Item 7.01    Regulation FD.
On March 26, 2024, Visa Inc. (the "Company") issued a press release announcing that the Company has agreed to settle longstanding litigation with U.S. merchants. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K. All information in the press release is furnished but not filed.
Item 8.01 Other Events.

The settlement agreement resolves claims against the Company, Mastercard and other defendants brought by the injunctive relief class in the lawsuit entitled In re Payment Card Interchange Fee and Merchant Discount Antitrust Litigation. It is subject to approval by the court. The full text of the settlement agreement is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
