(the "Issuer"), Happenings Communications Group, Inc., a Texas corporation ("HCG"), and Rochon Capital (the "Share Exchange Agreement"), Rochon Capital acquired the reported shares of the Issuer's common stock directly on September 25, 2012, upon the closing of the transactions contemplated by the Share Exchange Agreement. The consideration for Rochon Capital's acquisition of the reported shares of the Issuer's common stock was its transfer to the Issuer of all of the outstanding capital stock of HCG. Under the Share Exchange Agreement, Rochon Capital also has purchased and has the right to delivery of an additional 504,813,514 shares of the Issuer's common stock, subject to the filing of an amendment to the Issuer's Articles of Incorporation to authorize additional shares of its common stock. Because of Rochon Capital's current ownership of outstanding shares of the Issuer's common stock, Rochon Capital can cause that condition to be satisfied, though the amendment cannot be filed and become effective until after the filing and distribution of an information statement to the Issuer's shareholders. If the Issuer's current Articles of Incorporation included a sufficient number of authorized shares, Rochon Capital and the other filing persons would have, and upon the amendment to the Issuer's Articles of Incorporation Rochon Capital and the other filing persons will have, beneficial ownership of the additional 504,813,514 shares of the Issuer's common stock, resulting in beneficial ownership of a total of 942,899,548 shares of the Issuer's common stock, representing 95% of the Issuer's outstanding common stock.
