On February 23, 2016, Summit Management applied unpaid consulting fees of $64,000 to purchase 400,000 shares of the Company's common stock and a warrant to purchase 400,000 shares of the Company's common stock at an exercise price of $.22 per share. On June 24, 2016, Summit Management Consulting transferred 400,000 shares of Common Stock of the Company to Mr. Ponder.
