Item 2.02. Results of Operations and Financial Condition.

On October 28, 2010, Duff & Phelps Corporation (the “Company”) issued a press release to correct certain information in the “Results of Operations by Segment” table of its earnings release, originally issued October 28, 2010, announcing its financial results for the three and nine months ended September 30, 2010.  A copy of the corrected press release is furnished as Exhibit 99.2 to this Current Report on Form 8-K/A and is incorporated in this report as if fully set forth herein.  All information in the press release is furnished but not filed. The Company is filing this Form 8-K/A to amend the Current Report on Form 8-K filed on October 28, 2010.
