Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Election of Thompson S. Baker II as President

On September 20, 2023, the Board of Directors (the “Board”) of Vulcan Materials Company (the “Company”) announced the election of Thompson S. Baker II as President of the Company, effective immediately. J. Thomas Hill will continue to serve as the Company’s Chairman and Chief Executive Officer.

Mr. Baker, 65, was appointed Chief Operating Officer of the Company effective May 2019. He previously served as Senior Vice President from March 2017 to April 2019. Prior to that, he served in a number of positions with the Company, including President of the Florida Rock Division, before serving as Chief Executive Officer of FRP Holdings, Inc. from October 2010 to March 2017 and President and Chief Executive Officer of Patriot Transportation Holding, Inc. from December 2014 to March 2017.

In connection with the election, Mr. Baker’s base salary was increased to $800,000. No changes were made to the bonus targets for Mr. Baker under the Company’s Executive Incentive Plan (“EIP”) and 2016 Omnibus Long-Term Incentive Plan (“LTIP”). Mr. Baker has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K other than as disclosed in the Company’s 2023 definitive proxy statement filed with the Securities and Exchange Commission on March 27, 2023.

Promotion of Ronnie A. Pruitt to Chief Operating Officer

On September 20, 2023, the Company announced the promotion of Ronnie A. Pruitt, previously Senior Vice President of the Company’s Southwest and Western Divisions, to the position of Chief Operating Officer, effective immediately.

Mr. Pruitt, 53, joined the Company as part of the Company’s August 2021 acquisition of U.S. Concrete, Inc. He held various leadership roles at U.S. Concrete, including President and Chief Executive Officer from April 2020 to August 2021, President and Chief Operating Officer from April 2019 to April 2020, and Senior Vice President and Chief Operating Officer from October 2015 to April 2019.

In connection with the promotion, Mr. Pruitt’s base salary was increased to $700,000, and his EIP and LTIP targets were increased to 100% and 290%, respectively, of base salary. Mr. Pruitt has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
