Creative Learning Corporation (the “Registrant”) is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended September 30, 2015 (the “Annual Report”) by the December 29, 2015 filing date applicable to smaller reporting companies, due to unforeseen delays in finalizing the financial statements. The Registrant anticipates that it will file the Annual Report no later than the fifteenth calendar day following the prescribed filing date.

	The Registrant expects to report total revenues of approximately $6.0 million to $6.1 million for the fiscal year ended September 30, 2015, compared to total revenues of approximately $7.7 million for the fiscal year ended September 30, 2014. The decrease is primarily due to reduced franchise fees as a result of fewer franchise unit sold in the year ended September 30, 2015, as compared to the prior year period. The Registrant expects to report a net loss of approximately $0.5 million to $0.6 million for the fiscal year ended September 30, 2015, compared to net income of approximately $0.8 million for the fiscal year ended September 30, 2014. The change is largely a result of the decrease in total revenues, as well as a significant increase in professional fees, during the fiscal year ended September 30, 2015, as compared to the prior year period. Due to uncertainties in, among other things, establishing future reserves, the Registrant’s results of operations are uncertain and could be different than management’s current estimates.
