Item 5.03 Amendments to the Articles of Incorporation or Bylaws; Change in Fiscal Year

On December 14, 2009, the Board of Directors of Diversified Restaurant Holdings, Inc. (the “Company”) changed the Company’s fiscal year end date from December 31 to the final Sunday of each calendar year, effective for fiscal year 2009. The Company’s 2009 fiscal year will end on Sunday, December 27, 2009. The Company plans to report its financial results for the 361 day transition period of January 1, 2009 through December 27, 2009 on Form 10-K. This change in fiscal year end was made to align the Company’s fiscal year end with restaurant industry standards and the fiscal year end of the Company’s franchisor, Buffalo Wild Wings, Inc.
