Results of Operations and Financial Condition.

On February 4, 2021, PROS Holdings, Inc. (the "Company") issued a press release announcing financial results for its quarter and year ended December 31, 2020. A copy of the press release, dated as of February 4, 2021, is furnished as Exhibit 99.1 to this Current Report on Form 8-K. The press release contains forward looking statements regarding the Company and includes cautionary statements identifying important factors that could cause actual results to differ materially from those anticipated.

On February 4, 2021, the Company published the Q4 2020 Investor Relations Fact Sheet ("IR Fact Sheet") and Q4 2020 Earnings Presentation ("Investor Presentation") on the Investor Relations section of the Company’s website located at https://ir.pros.com/. From time to time, the Company may also present and/or distribute the IR Fact Sheet and Investor Presentation to the investment community to provide updates and summaries of its business. Copies of the IR Fact Sheet and Q4 2020 Earnings Presentation are furnished herewith as Exhibits 99.2 and 99.3, respectively. Investors should note that the Company uses the Investor Relations section of its corporate website to announce material information to investors and the marketplace. Supplemental Regulation FD Disclosure. As of December 31, 2020, the Company expects to recognize approximately $389.7 million of revenue from remaining performance obligations. The Company expects to recognize revenue on approximately $178.9 million of these performance obligations over the next 12 months, with the balance recognized thereafter. However, as a result of the ongoing and uncertain economic conditions caused by COVID-19, the amount of revenue recognized from the Company's contractual remaining performance obligations could vary and be less than what the Company expects as revenue recognized could be delayed or not occur depending on the ongoing impact of COVID-19.
