ITEM 5.03   AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.
 
Firstway Enterprises, Inc. (the “Company”) filed a Certificate of Ownership (the “Certificate”) with the Secretary of State of the State of Delaware, effective as of June 13, 2008. The Certificate was filed to effectuate a merger between Axcess Medical Imaging Corporation, a Delaware corporation and a wholly-owned subsidiary of the Company, and the Company, with the Company being the surviving entity, and to effect a name change of the Company from “Firsway Enterprises, Inc.” to “Axcess Medical Imaging Corporation”.  The Certificate is attached hereto as Exhibit 3.1.
