The Registrant notified the Israeli Securities Authority on March 29, 2021, that Mega Or Holdings Ltd., or Mega Or, became an interested party of the Company following the completion of the first phase of the transaction for transfer of means of control in the Company (as detailed in the Company's previous report on Form 6-K, dated March 25, 2021), in which Mega Or also became an "Israeli shareholder" (as such term is defined in the Company's cellular license), which appoints a director to the Company's board of directors
