| ITEM 2.01 | Completion of Acquisition or Disposition of Assets. |
On June 1, 2022 Domtar Inc., a wholly-owned subsidiary of Domtar Corporation (the “Company”) completed the previously announced sale of the Company’s Kamloops, BC mill and related assets to Kruger Kamloops Pulp L.P. and Kruger Specialty Papers Holdings L.P (the “Purchaser”) for a purchase price of $300 million in cash, subject to customary adjustments (the “Transaction”). The description of the Transaction does not purport to be complete and is qualified in its entirety by reference to the Share Purchase Agreement by and among Domtar Inc. and the Purchaser, dated as of May 11, 2022. The Share Purchase Agreement was filed as Exhibit 2.1 to the Company’s Current Report on Form 8-K filed on May 16, 2022, the contents of which are incorporated herein by reference.
