Item 8.01 Other Events.

As previously disclosed, GSRX Industries Inc. (the “Company”) entered into a letter of intent dated January 26, 2018 (the “LOI”) with Progressive Collectives, LLC (“Progressive”), pursuant to which the Company would acquire and assume all of the assets of a cannabis dispensary business. On October 8, 2018, the Company and Progressive mutually terminated the LOI. No definitive agreements for any transaction contemplated by the LOI were entered into between the parties prior to the termination of the LOI.
