Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 6, 2019, the Tennessee Valley Authority (“TVA”) filed a Current Report on Form 8-K reporting that on August 1, 2019, the United States Senate confirmed the nomination of William Kilbride to serve on the TVA Board of Directors (the “Board”). TVA hereby makes this Amendment No. 1 to the Current Report on Form 8-K to report that on August 22, 2019, the Board assigned Director Kilbride to the Nuclear Oversight Committee and the Finance, Rates, and Portfolio Committee.
