Item 8.01 Other Events.

     On August 16, 2007, TVA issued a news release which discussed an increase in the Fuel Cost Adjustment for the first quarter of fiscal year 2008, which begins October 1, 2007. A copy of the news release is attached as an exhibit hereto.
