Item 2.02 Results of Operations and Financial Condition

     On January 25, 2007, the Tennessee Valley Authority (“TVA”) issued a news release about TVA President and CEO Tom Kilgore’s report at the January 25, 2007, public meeting of the TVA Board of Directors, which provided highlights of TVA’s results of operations and financial condition for the quarter ended December 31, 2006. A copy of this news release is furnished as Exhibit 99.1 hereto.
