Item 3.01   Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
     (a) On April 19, 2008, Superior Offshore International, Inc. (the “Company”) received a letter dated April 17, 2008 from The Nasdaq Stock Market stating that it has not received the Company’s Form 10-K for the period ended December 31, 2007 as required by Marketplace Rule 4310(c)(14), and that unless the Company requests an appeal, the Company’s common stock will be suspended from trading at the opening business on April 28th, 2008, and that a Form 25-NSE will be filed with the Securities and Exchange Commission (the “Commission”), which will remove the Company’s securities from listing and registration on The Nasdaq Stock Market.
     Marketplace Rule 4310(c)(14) requires issuers whose securities are traded on Nasdaq to file with Nasdaq copies of all reports and other documents filed or required to be filed with the Commission. The Company has not filed its Form 10-K for the year ended December 31, 2007.
     As of the date of this Report, the Company does not intend to appeal the determination of The Nasdaq Stock Market to suspend the Company’s common stock from trading or removing the Company’s common stock from registration on The Nasdaq Stock Market.

Superior Offshore International Announces Receipt of Delisting Notice From NASDAQ
HOUSTON, April 23, 2008, 2008 /PRNewswire-FirstCall via COMTEX News Network/ — Superior Offshore International, Inc. (Nasdaq: DEEP) (the “Company”) today announced that it received a delisting notice from the Nasdaq’s Listing Qualifications Department citing the Company’s failure to timely file its Annual Report on Form 10-K for the year ended December 31, 2007 (the “Form 10-K”) in accordance with the filing requirements for continued listing set forth in Marketplace Rule 4310(c)(14). The notice indicates that the Company’s common stock is subject to delisting from The Nasdaq Stock Market at the opening of business on April 28, 2008, unless the Company requests a hearing in accordance with the Nasdaq Marketplace Rules. The Company does not intend to request such a hearing.
The Company previously announced its failure to timely file its Form 10-K on April 1, 2008.
