Item 1.01.                      Entry into a Material Definitive Agreement.

 On April 5, 2007, World Energy Solutions, Inc. (the “Company”) and Patrick Bischoff, a current Director of the Company, amended that certain Consulting Agreement between them for certain services related to strategic acquisition planning.  The amendment extends the term of the arrangement to June 30, 2007.

A copy of the Amendment of Consulting Agreement dated April 5, 2007 is attached to this Current Report on Form 8-K as Exhibit 99.1, and is incorporated herein by reference.
