Item 5.07 Submission of Matters to a Vote of Security Holders

Etsy, Inc. ("Etsy") held its 2019 Annual Meeting of Stockholders (the "Annual Meeting") on June 4, 2019. Stockholders voted on the proposals set forth below.

Each of the Class I director nominees to the Board of Directors was elected to serve until Etsy's 2022 Annual Meeting of Stockholders and until his or her successor has been elected and qualified or until he or she resigns, dies, or is removed from

the Board of Directors. The results of the voting were as follows:

2.	Proposal 2 - Ratification of the Appointment of Independent Registered Public Accounting Firm

Stockholders ratified the appointment of PricewaterhouseCoopers LLP as Etsy’s independent registered public accounting firm for the fiscal year ending December 31, 2019. The results of the voting were as follows:

3.	Proposal 3 - Advisory Vote on Executive Compensation

Stockholders approved, on an advisory basis, the compensation of Etsy's named executive officers, as disclosed in Etsy's Proxy Statement for the Annual Meeting. The results of the voting were as follows:
