Allocation of Purchase Price Based Upon Estimated Fair Values of Assets Acquired and Liabilities Assumed

The Company did not assume any liabilities in the acquisition. This preliminary allocation is based upon the finalization of valuation reports and as management gathers additional information on the acquired assets.
