Hi Team,

We’ve announced exciting news today! However, because the transaction has not closed yet, what we do and say between now and closing is closely regulated by the SEC. In order to avoid issues that could jeopardize the closing, it is VERY IMPORTANT that you follow these rules:

 

    Don’t tweet, post or otherwise communicate about the agreement between HomeAway and Expedia announced today, without PRIOR approval from Legal.

 

    This applies to communications about the transaction to customers, partners, vendors, and even most company or office-wide emails to employees.

As background, the SEC generally requires about communications about a tender offer (which is how our transaction is structured), before it closes, have a special legend and be filed publicly with the SEC on the same business day on which they are made. For this reason, you must get PRIOR approval from legal for any communications (including posts, emails, etc.) about the transaction, whether to customers, partners, even large groups of employees, etc. Even this email will be filed.

Below is the legend that will be used on all these communications.
