In accordance with the merger agreement, the reporting officer's election, and the final proration calculation, the reporting officer received in exchange for the 2000 shares of ACBA 1,274 shares of YAVY. This conversion occured sometime around May 25, 2009 following the election deadline of May 15, 2009 and increased the reporting officer's ownership to 3,616 shares of YAVY.
