Item 7.01. |
Regulation FD Disclosure. |
On August 10, 2025, The Western Union Company (the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among the Company, Ivey Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of the Company (“Merger Sub”), and International Money Express, Inc., a Delaware corporation (“IMXI”), pursuant to which, subject to the satisfaction or waiver of certain conditions and on the terms set forth therein, Merger Sub will be merged with and into IMXI with IMXI surviving such merger as a wholly owned subsidiary of the Company. On August 10, 2025, the Company and IMXI issued a joint press release announcing entry into the Merger Agreement. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
