Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 10, 2020, Charles (Lanny) Baker notified Leaf Group Ltd. (the “Company”) of his resignation from the Board of Directors of the Company, effective as of August 11, 2020. Mr. Baker’s decision to resign was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
