Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 24, 2023, Dan A. Emmett, Chairman of the Board of Directors (the “Board”) of Douglas Emmett, Inc. (the “Company”) announced his retirement as an executive officer of the Company effective August 24, 2023. Mr. Emmett will continue to serve as Chairman of the Board and as a non-employee director. Mr. Emmett will continue to receive annual compensation in connection with his service as a director and as Chairman of the Board.
