Item 8.01 Other Events.

On October 10, 2006, Aircastle Limited issued a press release, attached hereto and incorporated herein by reference as Exhibit 99.1, announcing that its Board of Directors has declared a partial third quarter cash dividend on its common shares of $0.194 per share for the period commencing on August 12, 2006 and ending on September 30, 2006, payable on November 15, 2006 to holders of record of Aircastle’s common shares on October 31, 2006.
