These shares were acquired by the exercise of stock options granted to the Reporting Person by PrimeTrust Bank, which were assumed by the Issuer and exercised by the Reporting Person at the share- exchange adjusted ratio. These options vest ratably over ten years, with 10% vesting on August 31st of each year, beginning on August 31, 2007.
