The Company has encountered a delay in assembling the information, in particular its financial statements for the year ended December 31, 2017, required to be included in its December 31, 2017 Form 10-K Annual Report. The Company expects to file its December 31, 2017 Form 10-K Annual Report with the U.S. Securities and Exchange Commission within 15 calendar days of the prescribed due date.

In connection with its debt financings, the registrant will record a significant increase in derivative expense in 2017 as compared to 2016. The registrant estimates that this increase will amount to approximately $8,000,000. Additionally, in 2017, in connection with an acquisition that occurred in 2017, based on an impairment analysis, the registrant recorded an impairment loss of $4,736,692 as compared to $0 in 2016.
