The stock options will vest quarterly over three years, subject to the recipient continuously providing services to the issuer through each such date. The stock options were awarded at pricing of the issuer's initial public offering ("IPO") on October 1, 2014 with an exercise price per share equal to the initial price per share of the common stock to the public in the IPO, but were subject to forfeiture in the event that the IPO was not consummated. The IPO was consummated on October 7, 2014. These stock options are directly held by Mr. Alexos. Each of Messrs. Alexos and Sullivan are managing directors of Madison Dearborn Partners, LLC ("MDP"). Messrs. Paul J. Finnegan and Samuel M. Mencoff are the sole members of a limited partner committee of Madison Dearborn Partners V-A&C, L.P. ("MDP A&C"). Each of MDP, Madison Dearborn Capital Partners V-A, L.P. ("MDP V-A"), Madison Dearborn Capital Partners V-C, L.P. ("MDP V-C"), Madison Dearborn Capital Partners V Executive-A, L.P. ("MDP Executive" and together with MDP V-A and MDP V-C, the "MDP Funds"), MDP A&C and Messrs. Paul J. Finnegan and Samuel M. Mencoff may be deemed to have an indirect pecuniary interest in the stock options, which are held by the record holders for the benefit of the MDP Funds, MDP A&C and MDP. MDP A&C is the general partner of each of the MDP Funds. Messrs. Alexos, Sullivan, Finnegan and Mencoff also each have an indirect pecuniary interest in the stock options through their direct and indirect investments in MDP A&C and the MDP Funds, respectively. Messrs. Alexos, Sullivan, Finnegan, and Mencoff, MDP, MDP A&C, and each of the MDP Funds hereby disclaim any beneficial ownership of any stock options directly held by Messrs.
