Item 2.02 Results of Operations and Financial Condition.

The following information is furnished under Item 2.02, “Results of Operations and Financial Condition.” This information, including the information contained in Exhibit 99.1 hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

On April 22, 2008, Susser Holdings Corporation (the “Company”) issued a news release providing same store sales and average retail fuel volume growth information for the Company’s fiscal quarter ended March 30, 2008. A copy of the news release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference into this Item 2.02.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 18, 2008, W. Alvin New, executive vice president of the Company and president and chief executive officer of the Company’s retail business unit, officially resigned from his office with the Company in accordance with his previously announced departure. Sam L. Susser will assume the responsibilities of president and chief executive officer of the retail division.
