On June 27, 2010, pursuant to an exchange offer, the terms of which were filed with the Securities and Exchange Commission on Schedule TO dated May 26, 2010 and later amended (the "Exchange Offer"), the reporting person tendered and the issuer cancelled options to purchase 85,531 shares of SUSS common stock granted to the reporting person on October 18, 2006. In exchange, the reporting person received exchange options for 55,872 shares having an exercise price of $11.19 a share. The cancelled options provided for vesting beginning on December 21, 2007 with one-third of the options vesting on such date and one-third vesting on each of the next two successive anniversaries thereof. On June 27, 2010, pursuant to the Exchange Offer, the reporting person tendered and the issuer cancelled options to purchase 10,000 shares of SUSS common stock granted to the reporting person on February 29, 2008. In exchange, the reporting person received exchange options for 5,192 shares having an exercise price of $11.19 a share.
