Under the applicable vesting provisions, Mr. Yemin will be entitled to purchase up to 393,898.6 of the remaining shares for each year of his employment (pro rated monthly) from May 2006 until the expiration of his employment agreement in April 2009, provided that Mr. Yemin is employed by MAPCO Express, Inc. at that time.
