Part III - Narrative

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof could not be filed within the prescribed period.

CBDS was unable to file its Quarterly Report on Form 10-Q for the period ended March 31, 2025, within the prescribed time period without unreasonable effort or expense.

The delay was due to (i) the engagement of a new independent registered public accounting firm in late 2024, which required additional time to complete certain transitional procedures following the filing of the Company’s Annual Report on Form 10-K, and (ii) the significant internal and external coordination required to finalize and disclose the Company’s corporate name change and stock dividend as announced by FINRA.

The Company expects to file the Form 10-Q within the five-business-day extension period provided by Rule 12b-25.
