Mr. Weiss disclaims beneficial ownership of the shares reported herein except to the extent of his pecuniary interest therein. This transaction reports separately in Table 1 and Table 2 the common stock and warrant components of securities that were purchased as units. There is currently no exercise date for the warrants, which only become exercisable after the acquisition is approved. Each warrant will become exercisable on the later of the completion of a business combination and March 20, 2008, and will expire on March 19, 2011, or earlier upon redemption. The warrants were acquired as part of the units, which price is reported in Table 1 above. This Form 4A is filed to report additional information about the exercise date and price and expiration date of the warrants reported herein and to restate the transactions reported in Form 4 filed at 14:46:31 on May 03, 2007.
