Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements with Certain Officers.

On July 22, 2008, Independent BancShares, Inc. (the “Company”) appointed Nicholas J. Panicaro as its Executive Vice President, Chief Financial Officer and Chief Operating Officer. Since May, 2007, Mr. Panicaro, age 55, has been a private consultant for financial institutions. During 1998-2007, he served as one of the founding directors and as the Executive Vice President and Chief Financial Officer of Old Florida Bank and as the Executive Vice President and Chief Operating Officer of Old Florida Bancorp, Inc., a $300 million in assets bank holding company headquartered in Ft. Myers, Florida. During 1988—1996, Mr. Panicaro served as a director and Executive Vice President and Chief Operating Officer of First National Bank of Southwest Florida and West Coast Bancorp, Inc., a $180 million in assets publicly traded bank holding company headquartered in Cape Coral, Florida.
