("SNI") restricted Class A Common Share for each restricted Class A Common Share of The E. W. Scripps Company ("EWS") pursuant to the spin-off of its networks and interactive media business on July 1, 2008. Thereafter, the EWS restricted Class A Common Shares were converted to SNI restricted Class A Common Shares based on a conversion ratio equal to the 10-day weighted average price of EWS Class A Common Shares immediately following the distribution date divided by the 10-day weighted average price of SNI Class A Common Shares immediately following the distribution date. All SNI restricted shares retained the same restrictions as the original EWS restricted share awards. Represents the number of options to purchase Class A Common Shares of Scripps Networks Interactive, Inc. ("SNI") the reporting person received in connection with the dividend distribution from The E. W. Scripps Company ("EWS") pursuant to the spin-off of its networks and interactive media business on 7/1/08. All EWS options were converted to SNI options. The reported exercise price and the number of shares subject to the SNI options were adjusted to maintain the economic value of the EWS options. All other terms of the options remain the same.
