in medium-term and long-term U.S. Government securities and/or high yield bond instruments, including derivatives. These investments produce
income and have the potential for capital appreciation generated by declining interest rates and/or improving high yield market credit

                                            are subject to possible recoupment from the Portfolio in future years (within the three years

                                            the foregoing expense limits. This agreement may be terminated only by the Portfolio&#x2019;s
                                            Board of Trustees, on 60 days&#x2019; written notice to the Adviser. During the year ended
                                            December 31, 2021 the Adviser did not waive any fees. As of December 31, 2021, there are
