This Amendment No. 3 (this “Amendment”) to Schedule 13D amends the Schedule 13D filed on August 8, 2015 by (i) Deerfield Mgmt, L.P. (“Deerfield Mgmt”), (ii) Deerfield Management Company, L.P. (“Deerfield Management”), (iii) Deerfield Special Situations Fund, L.P. (“Deerfield Special Situations Fund”), (iv) Deerfield Private Design Fund II, L.P. (“Deerfield Private Design II”), (v) Deerfield Private Design International II, L.P. (“Deerfield Private Design International II” and, together with Deerfield Special Situations Fund and Deerfield Private Design II, collectively referred to herein as the “Funds”) and (vi) James E. Flynn, a natural person (“Flynn” and collectively with Deerfield Mgmt, Deerfield Management, Deerfield Special Situations Fund,  Deerfield Private Design II and Deerfield Private Design International II, the “Reporting Persons”), with respect to the securities of Nuo Therapeutics, Inc., as amended by Amendment No. 1 thereto, filed on November 18, 2015 by the Reporting Persons and Amendment No. 2 thereto, filed on December 8, 2015 (as amended, the “Schedule 13D”).

Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Scheduled 13D.

Item 4.      Purpose of Transaction.

Item 4 of the Schedule 13D is hereby amended by adding the following:

As previously disclosed, on November 11, 2015 and December 4, 2015, the Funds and the Company agreed to reduce the Company’s deposit account minimum cash balance requirement under the Facility Agreement, and extend the date for payment of accrued interest under the Notes (originally payable on October 1, 2015), in either case, through December 4, 2015 and December 17, 2015, respectively. The purpose of such extensions to the time period for compliance with such obligations was to permit the Funds and the Company to discuss the Facility Agreement and the Notes. As of the end of these extension periods, the Company has not regained compliance with such obligations. On December 18, 2015 the Funds and the Company discussed the status of the Company’s obligations to the Funds, including the advisability of facilitating preparations for a potential court-supervised restructuring. In  furtherance of those discussions, on December 18, 2015, the Funds and the Company entered into a letter agreement pursuant to which the Facility Agreement was modified (i) to reduce, through January 7, 2016, the minimum cash balance that the Company is required to maintain in a deposit account subject to a security interest in favor of the Funds from $5 million to $500,000; and (ii) to extend to January 7, 2016 the date for payment of accrued interest under the Notes that was originally payable on October 1, 2015.

The foregoing modifications are intended to permit the Funds and the Company to make preparations for a court-supervised restructuring of the Company’s obligations (including its obligations under the Facility Agreement and Notes).  Any court-supervised restructuring, or any other restructuring pursued, is likely to result in a change in control of the Company and/or its assets, and may involve a sale of the Company’s assets.  The Funds may also provide debtor-in-possession financing to the Company on terms acceptable to the Funds and the Company (if at all) and could acquire assets of the Company in connection with a restructuring.

There can be no assurance that any such court-supervised restructuring will ultimately be consummated by the Company or whether any alternative restructuring plan will be proposed by the Company or, if proposed, accepted by the Funds.

Item 6.      Contracts, Arrangements, Understandings or Relationships With Respect to Securities of the Issuer.

Item 6 of the Schedule 13D is hereby amended by adding the following after the last paragraph under the caption “Facility Agreement”:

On December 18, 2015 the Funds and the Company executed a consent letter, pursuant to which the Funds agreed to modify the Facility Agreement (i) to reduce, through January 7, 2016, the minimum cash balance that the Company is required to maintain in a deposit account subject to a security interest in favor of the Funds from $5 million to $500,000; and (ii) to extend to January 7, 2016 the date for payment of accrued interest under the Notes that was originally payable on October 1, 2015.
