Item 2.02.    Results of Operations and Financial Condition

On October 19, 2006, American Mold Guard, Inc. issued a press release announcing its unaudited financial results for the three and nine months ended September 30, 2006 ("Q3 2006 Release"). A copy of the press release is furnished as Exhibit 99.1 and incorporated herein by reference.
