Item 4.01. Changes in Registrant's Certifying Accountant

This amendment to the Current Report on Form 8-K, originally filed by American Mold Guard, Inc. (the "Company") on April 15, 2008, is being filed in order to include the letter from the Company's former independent registered public accounting firm addressed to the Securities and Exchange Commission in accordance with Item 304(a)(3) of Regulation S-B.

BACKGROUND

On April 15, 2008, the Company filed a Form 8-K reporting, among other matters, the termination of the auditor-client relationship between the Company and its independent registered public accounting firm, Haskell & White LLP. Subsequent to the filing of the Form 8-K, the Company provided Haskell & White LLP with a copy of the Form 8-K and requested Haskell & White LLP to furnish a letter addressed to the Securities and Exchange Commission stating whether Haskell & White LLP agrees with the statements contained in Item 4.01 of the Form 8-K and, if not, stating the respects in which it does not agree. A copy of Haskell & White LLP's letter is at tached as Exhibit 16.1 to this Form 8-K/A.
