Item 8.01 Other Events.

At the Annual General Meeting of Shareholders of Energy XXI (Bermuda) Limited, (“Energy XXI”), held on November 4, 2008, Energy XXI's Shareholders approved the Energy XXI Services, LLC Employee Stock Purchase Plan, (“Plan”).  The purposes of this Plan is to assist qualifying employees in acquiring a stock ownership interest in Energy XXI pursuant to a plan which is intended to qualify as an “employee stock purchase plan” within the meaning of Section 423(b) of the Internal Revenue Code of 1986, and to help qualifying employees provide for their future security and to encourage them to remain in the employment of Energy XXI.

A copy of the Energy XXI Services, LLC Employee Stock Purchase Plan is filed as Exhibit 10.1 to this Current Report on Form 8-K.
