Item 1.01 Entry Into a Material Definitive Agreement.
Amendment to Distribution Agreement
On March 23, 2024, Celsius Holdings, Inc., a Nevada Corporation (the “Company”) entered into an Amendment No. 1 (the “Amendment”) to its Distribution Agreement (the “Agreement”) dated August 1, 2022 with PepsiCo, Inc. (“Distributor”) pursuant to which the Company will provide Distributor with an incentive program, as set forth in the Amendment, designed to incentivize and compensate Distributor for its continued focus on and actions to support the Licensed Products in the Territory, as such terms are defined in the Agreement.
