On July 1, 2013, Edward Penhoet notified the Board of Directors of the Company (the “Board”) that he would be resigning from the Board, effective July 7, 2013. Dr. Penhoet’s decision to resign from the Board did not result from any disagreement with the Company concerning any matter relating to its operations, policies or practices.
