Pursuant to the agreement, LP purchased 123,077 units of securities of the Issuer for $32.50 per unit, with each security comprising (1) one share of Series A Convertible Preferred Stock, (2) one warrant to purchase fifty shares of common stock, and (3) one warrant to purchase one shares of Series A Convertible Preferred Stock. The aggregate purchase price paid by LP in the transaction was $4,000,003.00. These shares and warrants are held of record by LP. US VC Partners GP, LLC is the general partner of LP and the Reporting Person is the Special Managing Member and has the power to direct the voting and investment decisions of GP. As a result, the Reporting Person may be deemed to have voting and investment power over the shares held by LP.
